This Checklist covers such matters as
- possible restrictions that the vendor may have on transferring the business
- who should be parties to the Contract of Sale, what searches you may be able to do concerning these entities
- searches that you may undertake regarding the lease, property, finances of the vendor prior to signing the Contract of Sale
