SALES TERMS AND CONDITIONS

The most important document that you will need in your sales arsenal, is one that sets out your standard terms and conditions upon which you do business. Your Terms and Conditions is a detailed document that describes your trading terms, credit policy, when payment is due and a multitude of other matters.

Our Terms and Conditions form is divided into three sections (Section 1 - Credit Application Form, Section 2 - Terms and Conditions and Section 3 - Acceptance Form).

Section 1 - The Credit Application Form provides information on the purchaser and the people that manage this entity (whether directors, partners or a sole trader), their bankers, and any Guarantors that you may require for the account to be established.

Section 2 - Terms and Conditions, this section provides the purchaser with details concerning

  • supply and delivery (and when delivery is effective)
  • pricing (this is tied to your current price list)
  • over and under supply
  • damaged goods
  • cancellation of orders on the internet
  • acceptance of the goods and when the purchaser may make claims
  • title to the goods, possession and liens on the goods
  • reservation of title to the goods
  • jurisdiction governing the contract
  • general legal provisions
  • Guarantee and indemnity clause (if you require guarantors)
  • Trust provisions if the purchaser is the trustee of a trust
  • Warranties

Section 3 - The Acceptance Form is an acknowledgement by all parties (including guarantors if relevant) that they have read the terms and conditions and agree to them. All parties sign this section.
