Distribution Agreement

The Distribution Agreement contains various essential terms and conditions governing the relationship between the Distributor and the party employing the Distributor (called the Principal) including

  • Definitions and Interpretation used in the Distribution Agreement
  • Appointment of the Distributor, whether the Distributor is to be a sole Distributor or one of many
  • The length of time of the Distribution Agreement (in months)together with a right to extend the term if this is what you want (you need to specify the extended period, in months)
  • The duties of the Distributor, including such matters as promoting the product/service, advertising, record keeping, reporting to the Principal
  • a requirement on the Distributor to attend trade shows and conventions (how many is set by you
  • The rights and duties of the Principal including providing the Distributor with samples and backup, replacing defective merchandise
  • A comprehensive clause concerning how and who may end the Distribution Agreement and in what circumstances. We have a clause that details a minimum twelve sales figures (that you specify) that the Distributor is to meet, or a failure to meet gives the Principal the right to end the Agreement
  • Confidentiality and non disclosure provisions
  • Defaults of Distributor, Employees and Associates
  • Disputes Concerning Monies Due or Payable
  • Warranties and Undertakings
  • A standard Force Majeure clause
  • Dispute Resolution is to be by mediation
